Tokyo, October 31, 2017 — ANEW Holdings Inc. (Head Office: Minato-ku Tokyo, Representative: Yuji Fujinaga and Wataru Ito; hereafter “ANEW HD”) has reached an agreement with Evolution Capital Management LLC, to jointly establish and manage an investment platform targeting mid-sized domestic listed companies, from November 2017. Evolution Capital Management LLC is a part of Evolution Financial Group (hereafter “Evolution”), a global financial firm that provides investment management services in Japanese equities, among its many and diverse global investment activities.
The Joint Investment Managers for the investment platform are ANEW HD and Evolution Capital Management LLC; ANEW HD will lead sourcing and business support services, while Evolution Capital Management LLC will handle product structuring and investment management services.
Evolution will commit 20 billion Yen over the next 5 years to the investment platform. By combining ANEW HD’s business of providing investment/support services for domestic and overseas companies, with Evolution’s experience of investing in small and mid-sized listed companies, the Joint Investment Managers aim to create a platform that provides Private Investment in Public Equity (PIPEs) to mid-sized listed companies with high growth potential. Furthermore, the Joint Investment Managers will not only provide access to financing, but will also offer ANEW HD’s domestic & international business opportunities and resources as a “business support” function, which will provide support in the formulation of business strategies required for the sustainable growth of a company and the implementation of action plans.

Investment Objectives：Share options and convertible bonds issued through third-party allocation of shares by domestic mid-sized listed companies.
